Welcome to Eris Core ("Company", "we", "our", or "us"). These Terms of Service ("Terms") govern your access to and use of the Eris Core platform, including our web application, APIs, and related services (collectively, the "Service").

By creating an account, accessing, or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you and Eris Core.

2. Description of Service

Eris Core is an integrated business communication and customer relationship management (CRM) platform that provides:

• Email Management: Gmail integration with AI-powered features including email summarization, draft generation, and automated responses
• CRM System: Contact management, lead tracking, deal pipelines, and automated follow-ups with encrypted data storage
• WhatsApp Integration: Business messaging integration for customer communication
• Calendar Management: Event scheduling, Google Calendar synchronization, and meeting coordination
• AI Assistant: Powered by OpenAI GPT models for intelligent business communication assistance
• Team Collaboration: Multi-user workspaces with role-based access control
• Social Media Management: Asset management and scheduling for social media campaigns (for applicable clients)
• Meeting Recordings: Integration with Zoom for meeting transcription and analysis

3. Account Registration and Security

3.1 Account Creation

To use the Service, you must create an account by providing accurate, current, and complete information. You must:

• Be at least 18 years of age
• Provide a valid email address
• Create a secure password
• Agree to these Terms and our Privacy Policy

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your password and account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach

We use Better Auth for secure authentication and industry-standard encryption for sensitive data. However, you must take reasonable steps to protect your account.

3.3 Team Accounts

If you create a team account, you are responsible for:

• Managing team member access and permissions
• Ensuring team members comply with these Terms
• All activities performed by team members

4. Third-Party Integrations

4.1 OAuth Connections

Our Service integrates with third-party platforms (Gmail, Google Calendar, WhatsApp, Dropbox, Zoom). By connecting these services:

• You authorize us to access data according to the permissions you grant
• You agree to comply with the terms of service of those third-party platforms
• You acknowledge that we are not responsible for the actions or policies of third-party services
• You can revoke access at any time through your account settings or the third-party platform

4.2 Gmail Integration Scope

When you connect Gmail, you grant us permission to:

• Read your email messages (gmail.readonly)
• Modify email labels and categories (gmail.modify)
• Send emails on your behalf (gmail.send)
• Manage draft emails (gmail.compose)

We only use these permissions to provide the features you've requested and never send emails without your explicit action or authorization.

4.3 AI Processing

By using AI-powered features, you consent to:

• Your content being processed by OpenAI's GPT models
• Automatic generation of summaries, responses, and insights based on your data
• The use of business context and instructions to personalize AI responses

You can disable AI features at any time. AI-generated content should be reviewed before use, as we do not guarantee accuracy or appropriateness.

5. Acceptable Use Policy

You agree not to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Transmit spam, unsolicited messages, or bulk commercial communications
• Upload malware, viruses, or malicious code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Reverse engineer, decompile, or disassemble the Service
• Use automated tools to access the Service without permission (except for authorized API usage)
• Impersonate others or misrepresent your affiliation
• Harass, threaten, or abuse other users
• Collect or store personal data of other users without consent
• Use the Service for any illegal purpose, including money laundering, fraud, or terrorist financing

6. User Content and Data

6.1 Your Content

You retain all ownership rights to the content you upload, create, or store in the Service ("User Content"), including:

• Email content and drafts
• Contact information and CRM data
• Calendar events and meeting records
• Chat messages and conversations
• Business instructions and preferences

6.2 License to Use Your Content

By using the Service, you grant us a limited, non-exclusive, royalty-free license to:

• Store and process your content to provide the Service
• Use your content for AI processing to generate insights, summaries, and recommendations
• Create backups for data recovery purposes
• Improve our Service through anonymized, aggregated analysis (never sold or shared externally)

This license terminates when you delete your content or account, except for content retained for legal compliance or backup purposes for a limited time.

6.3 Content Responsibility

You are solely responsible for your User Content and warrant that:

• You have all necessary rights and permissions to upload and share the content
• Your content does not violate any laws, regulations, or third-party rights
• Your content is not defamatory, obscene, or offensive

7. Intellectual Property

The Service, including its software, design, text, graphics, logos, and other content (excluding User Content), is owned by Eris Core and protected by copyright, trademark, and other intellectual property laws.

You may not:

• Copy, modify, or create derivative works of the Service
• Redistribute, sell, or sublicense the Service
• Remove or alter any copyright, trademark, or proprietary notices
• Use our trademarks without written permission

8. Payment and Subscriptions

If applicable to your account:

• Subscription fees are billed in advance on a recurring basis
• You authorize us to charge your payment method automatically
• Prices may change with 30 days' notice
• Refunds are provided according to our refund policy
• You're responsible for all applicable taxes
• Failed payments may result in service suspension

9. Service Availability and Modifications

We strive to provide reliable service but do not guarantee uninterrupted access. We reserve the right to:

• Modify, suspend, or discontinue any aspect of the Service with reasonable notice
• Perform maintenance that may temporarily affect availability
• Update features, APIs, and integrations
• Implement security patches and performance improvements

10. Disclaimers and Limitations of Liability

10.1 Service Provided "As Is"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

10.2 AI-Generated Content

AI-generated content (summaries, drafts, recommendations) is provided as a convenience and may contain errors, inaccuracies, or inappropriate content. You are responsible for reviewing and verifying all AI-generated content before use.

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ERIS CORE SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages resulting from unauthorized access or data breaches
• Errors or inaccuracies in AI-generated content
• Third-party service failures (Gmail, WhatsApp, Google, OpenAI, etc.)
• Service interruptions or data loss

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Eris Core, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your User Content
• Violation of these Terms
• Violation of any rights of third parties
• Your team members' actions (if you have a team account)

12. Termination

12.1 Termination by You

You may terminate your account at any time through account settings. Upon termination:

• Your access to the Service will cease immediately
• All your data will be deleted according to our data retention policy
• Encrypted data will be securely purged from our systems
• OAuth connections will be revoked

12.2 Termination by Us

We may suspend or terminate your account immediately if:

• You violate these Terms or our Acceptable Use Policy
• Your account is used for illegal activities
• Payment fails or your account becomes delinquent
• We're required to do so by law
• Continuing to provide service creates legal or security risks

12.3 Effect of Termination

Upon termination, all provisions that should reasonably survive (including intellectual property rights, disclaimers, limitations of liability, and indemnification) will continue to apply.

13. Privacy and Data Protection

Your use of the Service is subject to our Privacy Policy, which details how we collect, use, and protect your data. Key points:

• We encrypt sensitive data using AES-128 encryption (Fernet symmetric encryption)
• We comply with applicable data protection laws (GDPR, CCPA, etc.)
• You have rights to access, correct, and delete your data
• We do not sell your personal information

14. Communications and Notifications

By using the Service, you consent to receive:

• Transactional emails (account notifications, security alerts, service updates)
• Weekly summaries (if enabled in preferences)
• Marketing communications (if you opt in during signup)

You can unsubscribe from marketing emails at any time using the link in each email or through your account settings.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Eris Core operates, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be resolved through:

• Good faith negotiation
• Binding arbitration (if negotiation fails)
• Courts of competent jurisdiction in our operating jurisdiction (as a last resort)

16. Changes to These Terms

We may modify these Terms at any time. When we make material changes:

• We'll provide at least 30 days' notice via email
• We'll display a prominent notice in the application
• The "Last Updated" date will reflect the revision

Your continued use of the Service after changes take effect constitutes acceptance. If you don't agree to the new terms, you must stop using the Service and may terminate your account.

17. Miscellaneous

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Eris Core
• Severability: If any provision is found invalid, the remaining provisions remain in effect
• Waiver: Failure to enforce any right does not waive that right
• Assignment: You may not assign these Terms without our consent. We may assign our rights and obligations
• No Third-Party Beneficiaries: These Terms do not create rights for third parties
